Terms of Service
1. About these terms
These terms govern your use of the SupportedHousingOS service ("the Service"), provided by Yantrium Ltd ("we", "us"), a company registered in England & Wales (company number [COMPANY NUMBER]), registered office [REGISTERED OFFICE ADDRESS]. By creating an account or using the Service you agree to these terms. If you are agreeing on behalf of an organisation, you confirm you are authorised to do so.
2. The Service
The Service is a subscription platform for managing supported housing, including tenancies and licences, rent and Housing Benefit, support plans and statutory compliance. We may improve or change features from time to time and will not materially reduce core functionality of a paid plan during a billing term without notice.
3. Accounts and security
You must provide accurate information, keep your credentials confidential, and are responsible for activity under your accounts. Tell us promptly of any suspected unauthorised use. You are responsible for managing your own users and their access.
4. Acceptable use
You agree not to misuse the Service, including: breaking the law; infringing others' rights; uploading malicious code; attempting to gain unauthorised access; or using the Service to store data you have no lawful basis to hold. We may suspend access where necessary to protect the Service or other customers.
5. Fees and billing
Paid plans are billed as set out when you subscribe (for example, per unit managed, with a free trial). Fees are exclusive of VAT unless stated. We will give reasonable notice of price changes. Unless stated otherwise, fees are non-refundable for the current billing term.
6. Your data and data protection
You retain all rights in the data you put into the Service ("Customer Data"). For personal data within Customer Data, you are the controller and we are your processor; our processing is governed by a data processing agreement that meets Article 28 of the UK GDPR, available from privacy@yantrium.co.uk. Our handling of personal data for which we are the controller is described in our Privacy Policy. You are responsible for having a lawful basis for the data you process using the Service.
7. Availability and support
We aim to keep the Service available and secure, but it is provided on a reasonable-efforts basis and may occasionally be unavailable for maintenance or reasons beyond our control. We provide support by email at hello@yantrium.co.uk.
8. Intellectual property
We and our licensors own all rights in the Service and its software. We grant you a non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, resell or reverse-engineer the Service except as allowed by law.
9. Warranties and liability
The Service is not a substitute for professional, legal or regulatory advice; documents and templates it produces are starting points you must check. To the extent permitted by law, we exclude implied warranties and are not liable for indirect or consequential loss, or for loss of profits, data or goodwill. Nothing in these terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or fraud). Subject to that, our total liability in any 12-month period is limited to the fees you paid us in that period.
10. Term and termination
Either party may end the subscription in line with the plan you chose. We may suspend or end access for serious or repeated breach of these terms. On termination you can export your Customer Data for a reasonable period, after which we will delete it in line with our data processing agreement.
11. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
